Ford Motor Company Redistribution Center.

Property: Ford Motor Company Redistribution Center, 8335 N. Telegraph Road, Newport (Frenchtown Charter Township), Michigan 48166 (the “Property”). Broker: Fortis Net Lease, a division of Fortis Capital Solutions (“Fortis”), retained by the owner of the Property (the “Owner”).

The undersigned (“Recipient”) requests access to the offering website, offering memorandum, lease abstract, rent schedule, financial information and related materials concerning the Property (the “Materials”), and in consideration of that access agrees as follows:

1. Confidentiality

The Materials are confidential. Recipient will use them solely to evaluate a potential acquisition of the Property and will not copy, forward, publish or disclose them to anyone other than Recipient's principals, partners, lenders, attorneys and advisors who need them for that evaluation and who agree to keep them confidential. Recipient will return or destroy the Materials on request.

2. No representation; independent verification

The Materials were prepared from sources believed reliable but have not been independently verified. Neither the Owner nor Fortis makes any representation or warranty as to their accuracy or completeness, and Recipient will rely solely on its own investigation. The Owner may withdraw the Property from the market, reject any offer and negotiate with any party at any time for any reason. No obligation to sell exists unless and until a written purchase agreement is fully executed.

3. No contact

Recipient will not contact the tenant or its employees, the Owner, any lender, property manager or vendor regarding the Property without Fortis's prior written consent. Questions, tours and offers are to be directed to Fortis.

4. Registration of interest; broker protection

By requesting the Materials, Recipient confirms that it is expressing interest in a potential acquisition of the Property and acknowledges that Fortis is the broker that introduced the Property to Recipient. Recipient consents to Fortis registering Recipient's name, company and contact information with the Owner as a prospective purchaser procured by Fortis, including for purposes of any protection period following the expiration or termination of Fortis's listing agreement. Recipient agrees that any offer for, negotiation of, or acquisition of the Property or any interest in it by Recipient or its affiliates — whether during or after the listing term — will be conducted through Fortis, and that Recipient will not act, directly or indirectly, to circumvent Fortis's role or compensation.

5. General

This agreement binds Recipient and its affiliates, is governed by the laws of the State of Michigan, and remains in effect for two (2) years from the date of signature. The individual signing represents that he or she is authorized to bind Recipient. Recipient agrees that typing his or her name below and clicking “Agree & Enter” constitutes an electronic signature with the same force and effect as a handwritten signature, and that Fortis will keep a record of this agreement including the date, time and network address from which it was signed.
